Terms of Service

Please read these Terms of Service carefully. By creating an account or using IDIDs.com services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Agreement and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you (the account holder or business entity, "Customer," "you") and IDIDs.com ("IDIDs," "we," "us"). By registering for an account, accessing our portal, placing an order, or using our API, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Services Description

IDIDs.com provides wholesale and retail DID (Direct Inward Dialing) number services, including:

IDIDs.com is a downstream reseller. Underlying number resources and carrier infrastructure are provided by Infinitum Communications, LLC and other upstream providers. Service availability is subject to the capabilities and policies of upstream providers.

IDIDs.com does not provide outbound calling services, voice termination, hosted PBX, or emergency (E911) call routing unless explicitly stated in a separate written agreement.

3. Account Eligibility and Registration

To use IDIDs.com, you must:

You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You are responsible for all activities that occur under your account. Notify us immediately at support@idids.com if you suspect unauthorized use of your account.

4. Wholesale Account Applications

Wholesale, Reseller, and Enterprise accounts require manual review and approval by IDIDs.com. Submission of an application does not guarantee approval. We reserve the right to approve, reject, or request additional information for any application at our sole discretion.

Upon approval, wholesale customers will be assigned a per-DID monthly rate, which is confirmed in writing (email) at the time of approval. This rate is locked for the duration of the account relationship unless mutually agreed in writing.

We reserve the right to suspend or revoke wholesale account status if usage patterns are inconsistent with the stated use case at application, or if the account violates these Terms or the Acceptable Use Policy.

5. Pricing, Billing, and Payment

5.1 Pricing

Current pricing is published at idids.com. Retail rates are as posted. Wholesale rates are confirmed individually at account approval. All prices are in U.S. dollars and are exclusive of applicable taxes unless otherwise stated.

IDIDs.com reserves the right to change published pricing with 30 days advance notice to active account holders. Your locked wholesale rate (if applicable) will not change without mutual written agreement.

5.2 Billing Cycle

Active DID numbers are billed monthly in arrears. Invoices are generated on the 1st of each calendar month for the prior month's active DID count. Invoices are due within 30 days of issuance.

5.3 Payment

Payment is due by the invoice due date. Late payments may incur a 1.5% monthly late fee (or the maximum permitted by law, whichever is less). Accounts with invoices more than 30 days overdue may be suspended pending payment. Accounts with invoices more than 60 days overdue may be terminated and referred for collection.

5.4 Refunds

DID numbers are provisioned immediately upon order and begin billing from the activation date. Monthly DID fees are non-refundable for the current billing month. We do not offer partial-month credits except at our discretion in cases of verified service outages attributable to IDIDs.com.

Setup fees, porting fees, and one-time charges are non-refundable once services have been initiated.

5.5 Taxes

You are responsible for all applicable federal, state, and local taxes, fees, surcharges, and regulatory assessments arising from your use of DID services. IDIDs.com may add applicable taxes to your invoice as required by law.

You may use IDIDs.com services for lawful business purposes only. You agree not to use our services:

7. Number Porting (LNP)

IDIDs.com will make commercially reasonable efforts to complete number port requests in a timely manner. However, port timelines are dependent on the losing carrier and are outside IDIDs.com's direct control. We do not guarantee specific port completion dates.

You are responsible for ensuring that LOA (Letter of Authorization) documents are accurate and properly authorized. Inaccurate LOA submissions may result in port rejections and additional fees. IDIDs.com is not liable for service interruptions caused by carrier-side porting delays or rejections.

Upon successful porting to IDIDs.com, ported numbers are subject to these Terms and your applicable rate.

8. API Access

API keys are issued to authorized wholesale and enterprise accounts. You are responsible for securing your API keys. Do not share API keys or commit them to public repositories. IDIDs.com is not liable for unauthorized use of your API key resulting from your failure to maintain its confidentiality.

API usage is subject to rate limits as documented. Abuse of the API (including automated bulk operations that impact platform stability) may result in rate limiting, suspension, or termination of API access.

9. Service Availability and SLA

IDIDs.com targets 99.9% monthly uptime for number provisioning and routing infrastructure. This SLA excludes: scheduled maintenance windows (with advance notice), force majeure events, upstream carrier outages, and customer-caused issues.

In the event of a verified outage attributable to IDIDs.com lasting more than 4 consecutive hours, affected customers may request a pro-rated service credit for the outage period. Credit requests must be submitted within 10 days of the incident to support@idids.com. Credits are applied to future invoices and do not entitle cash refunds.

10. Suspension and Termination

10.1 By IDIDs.com

We may suspend or terminate your account immediately and without prior notice if:

We will use commercially reasonable efforts to provide advance notice before suspension for non-emergency situations such as overdue payment.

10.2 By Customer

You may cancel your account at any time by contacting support@idids.com. Upon cancellation: active DID numbers will be released, any outstanding invoices remain due, and no refunds are issued for the current billing period.

10.3 Effect of Termination

Upon termination, your access to the portal and API is revoked. Your phone numbers are returned to the inventory pool and may be reassigned to other customers. You remain liable for all charges incurred through the termination date.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IDIDS.COM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDIDS.COM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL IDIDS.COM'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO IDIDS.COM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless IDIDs.com, Infinitum Communications, LLC, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable laws or regulations.

14. Acceptable Use Policy (AUP)

The following activities are strictly prohibited on IDIDs.com. Violation may result in immediate account suspension and legal action:

IDIDs.com cooperates fully with law enforcement investigations involving telecommunications fraud. We maintain audit logs of all account activity for compliance purposes.

15. Regulatory Compliance

You acknowledge that use of telephone numbers is subject to federal and state telecommunications regulations, including but not limited to: the Communications Act of 1934 (as amended), the Telephone Consumer Protection Act (TCPA), the TRACED Act, FCC STIR/SHAKEN rules, and applicable state public utility commission regulations.

You are solely responsible for ensuring your use of DID numbers complies with all applicable laws and regulations. IDIDs.com is not your legal advisor and nothing in these Terms constitutes legal advice.

For E911 services: IDIDs.com does not provide E911 (emergency calling) service by default. If you require E911 capability, you must arrange this separately with a qualified E911 service provider and are responsible for compliance with applicable E911 regulations.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the services shall be resolved by binding arbitration administered by JAMS in Los Angeles County, California, under its Streamlined Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice to active account holders by email before material changes take effect. Your continued use of the services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to terminate your account before the effective date.
